1. Acceptance of Terms

By accessing or using the redstick.ai platform (the "Service") operated by Redstick AI, Inc. ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

The Service provides a web-based platform for AI-powered software engineering, including multi-agent orchestration, code execution, project management, and related tools. Features and availability may change at our discretion.

3. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the security of your account credentials and for all activities under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to other users' data or our infrastructure.
• Circumvent security controls, rate limits, or usage restrictions.
• Use the Service for cryptocurrency mining, spam, or denial-of-service activities.
• Reverse engineer, decompile, or disassemble the Service.

5. Intellectual Property

You retain ownership of all code, files, and content you create within your workspace. We do not claim any intellectual property rights over your content. The Service itself, including its software, design, and branding, remains our property.

6. Billing & Payments

• Paid plans are billed in advance on a monthly or annual basis via Stripe.
• All fees are non-refundable except as required by law or as stated in our refund policy.
• We may change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.
• Failure to pay may result in service suspension or downgrade to the free plan.

7. Data & Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to data practices described therein.

8. Third-Party Integrations

The Service integrates with third-party AI providers (such as Anthropic and OpenRouter). When you provide API keys for these services, your project data may be sent to those providers during agent execution. Your use of third-party services is subject to their respective terms and privacy policies.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance and will provide reasonable notice where possible. We are not liable for downtime caused by circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

11. Termination

You may terminate your account at any time through your profile settings. We may suspend or terminate your access for violation of these terms or for any reason with reasonable notice. Upon termination, your data will be handled in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice in the Service. Continued use after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Louisiana, United States, without regard to conflict of law provisions.
